THIS AMENDED AND RESTATED INDEMNITY AGREEMENT (the “Agreement”) is made and entered effective as of January 16, 2014 (the “Effective Date”) between Linn Energy, LLC, a Delaware limited liability company (“LINN”), LinnCo, LLC, a Delaware limited liability company (“LinnCo” and together with LINN, the “Company”), and Stephen J.
