This Employment Agreement (the “Agreement”) is entered into as of August 3, 2017, (the “Effective Date”) by and between TrueCar, Inc. (the “Company”), and Michael Guthrie (“Executive” and, together with the Company, the “Parties”). For purposes of this Agreement, Company shall be defined to include any predecessors to TrueCar, Inc., including, but not limited to, Zag.com Inc.
