THIS AMENDED AND RESTATED ADVISORY AGREEMENT (2023) (this “Agreement”), dated and effective as of April 30, 2023, is among Ares Real Estate Income Trust Inc., a Maryland corporation (the “Company”), AREIT Operating Partnership LP, a Delaware limited partnership (the “Operating Partnership”), and ARES Commercial Real Estate Management LLC, a Delaware limited liability company (the “Advisor”).
