This Acquisition Agreement (“Agreement”) is made as of September _____, 2005 by and among The Studio Zone, a Nevada corporation (“Buyer”) and The Studio Zone Fitness Center, Inc., a Corporation existing under the laws of the Province of British Columbia, Canada (hereinafter referred to as “Seller”).

The undersigned is writing to advise you of the following terms and conditions under which the undersigned hereby offers to subscribe (the "Offer") for Units (the "Units"), each Unit consisting of Forty Thousand (40,000) Common Shares at a purchase price of Five Cents ($.05) per share. The Offering of up to a maximum Eighty Thousand Dollars ($80,000) is being conducted on a best efforts basis.
