An agreement for the sale and purchase of mineral rights with a retained royalty right (“Agreement”) entered into this 27th day of February 2007 by and between Donald Heck as Trustee of the Tombstone Silver Mines Secured Creditors Trust (“Seller”) and Tombstone Exploration Corporation (“Buyer”).
