This Oil and Securities Purchase Agreement (the “Agreement”) is made as of May 8, 2006 by and between PARAFIN CORPORATION, a corporation formed under the laws of the State of Nevada (the “Company”), and INTERNATIONAL PROJECT FINANCE AND INVESTMENT CORP.
