This Special Escrow Agreement (the "Escrow Agreement") is entered into as of June 9, 2006 by and between William M. Aul (the "Escrow Agent"), Bio-Matrix Scientific Group, Inc., a Delaware corporation (the “Seller”) and John Lauring (the “Stockholder”) herein collectively referred to herein as the “Parties” (“Parties”).

THIS STOCK CANCELLATION AGREEMENT (the “Agreement”) is entered into and is effective on this 9th day of June 2006 by and between Tasco Holdings International, Inc., a Delaware corporation with principal address at 23 Brigham Road, Worchester, Massachusetts 01609 (the “Buyer”), Bio-Matrix Scientific Group, Inc., a Delaware corporation with principal address at 1010 University Avenue, Suite 40, San Diego, California 92103 (the “Seller”) and John Lauring, a stockholder of the Buyer with principal address at 23 Brigham Road, Worchester, Massachusetts 01609 (“Stockholder”). As used in this Agreement, the term, “Parties” shall refer to the Buyer, the Seller, and Stockholder, jointly.

THIS STOCK PURCHASE AGREEMENT (the “Agreement”) is entered into and is effective on this 14th day of June 2006 by and between Tasco Holdings International, Inc., a Delaware corporation with principal address at 23 Brigham Road, Worchester, Massachusetts 01609 (the “Buyer”), and Bio-Matrix Scientific Group, Inc., a Delaware corporation with principal address at 1010 University Avenue, Suite 40, San Diego, California 92103 (the “Seller”). As used in this Agreement, the term, “Parties” shall refer to the Buyer, and the Seller jointly.
