Gulf South Pipeline Company, LP, a limited partnership organized under the laws of Delaware (the “Partnership”), together with its general partner, GS Pipeline Company, LLC, a Delaware limited liability company (the “General Partner” and, together with the Partnership, the “Partnership Parties”), proposes to issue and sell to the several parties named in Schedule I hereto (the “Initial Purchasers”), for whom you (the “Representatives”) are acting as representatives, $225,000,000 principal amount of the Partnership’s 5.75% Notes due 2012 (the “2012 Notes”) and $275,000,000 principal amount of the Partnership’s 6.30% Notes due 2017 (the “2017 Notes” and, together with the 2012 Notes, the “Securities”). The 2012 Notes and the 2017 Notes are to be issued under separate indentures (each an “Indenture,” and together, the “Indentures”), to be dated as of the Closing Date, between the Partnership and The Bank of New York, as trustee (the “Trustee”).
