THIS THIRD AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF BOARDWALK PIPELINE PARTNERS, LP dated as of June 17, 2008, is entered into by and between Boardwalk GP, LP, a Delaware limited partnership, as the General Partner together with the other Persons who are or become Partners in the Partnership or parties hereto as provided herein.
