THIS IS A PURCHASE AND SALE AGREEMENT (this “Agreement”) made as of the 15th day of October, 2014 by and between RED MOUNTAIN TIMBERCO I LLC, RED MOUNTAIN TIMBERCO IV LLC, RMS TIMBERLANDS LLC AND SPRINGWOOD TIMBERLANDS, LLC, (collectively, “Seller”), and POTLATCH FOREST HOLDINGS, INC.
