This JOINT FILING AGREEMENT, dated as of June 20, 2008, is made by and between Vernon W. Hill, II and Theodore J. Flocco, Jr. Messrs. Hill and Flocco are collectively referred to herein as the "Parties" and each individually as a "Party."
