Aircastle Advisor LLC, a Delaware limited liability company ("Aircastle"), and Michael Platt ("Employee") have entered into this Separation Agreement and General Release (this "Agreement") as of this 3rd day of May, 2010. Aircastle Limited, a Bermuda exempted company ("Parent"), is a signatory to this Agreement solely with respect to obligations herein related to its shares. Aircastle, Employee and Parent are collectively referred to herein as the "Parties"). In consideration of the mutual promises contained herein, the Parties agree as follows:
