Reference is made to the Second Amended and Restated Employment Agreement dated November 11, 2010 (the “Employment Agreement”) between JAKKS Pacific, Inc. (the “Company”) and Stephen G. Berman (“Executive”). This letter clarifies certain provisions of the Employment Agreement.
