Aircastle Advisor LLC, a Delaware limited liability company ("Aircastle"), and J. Robert Peart ("Executive") have entered into this Separation Agreement and General Release (this "Agreement") as of this 22nd day of January, 2012. Aircastle Limited, a Bermuda exempted company ("Parent"), is a signatory to this Agreement solely with respect to obligations herein related to its shares. Aircastle, Executive and Parent are collectively referred to herein as the "Parties"). In consideration of the mutual promises contained herein, the Parties agree as follows:
