This General Release and Settlement Agreement (hereinafter “Agreement”) is entered into as of the 21st day of May 2010 between (i) Mark J. Byrne (hereinafter “Byrne”) of Roughill, 6 Long Lane, Hamilton Parish, Bermuda and (ii) Flagstone Holdings (Bermuda) Limited (together with its parent(s), subsidiaries and affiliated companies and entities, and its and their respective shareholders, investors, predecessors, successors, assigns, officers, directors, employees and agents, hereinafter “Flagstone”). Byrne and Flagstone are collectively referred to herein as the “Parties”.
