This Mutual Settlement Agreement and General Release (“Settlement Agreement”) is entered into effective as of May 15, 2007 (“Effective Date”) by and between PainCare Holdings, Inc., a Florida corporation (“PainCare”), PainCare, Inc., a Nevada corporation and a wholly owned subsidiary of PainCare (“PainCare Sub”) and PainCare Acquisition Company IX (“PainCare Sub #9”), a Florida corporation and a wholly owned subsidiary of PainCare Sub, (collectively referred to as “Sellers”) as the First Part, and Kenneth M. This Settlement Agreement (“Settlement Agreement”) is entered into as of May 16, 2007 (the “Effective Date”), by and among PainCare Holdings, Inc. (“PainCare”), PainCare, Inc. (“PainCare Sub”) (PainCare and PainCare Sub are hereinafter sometimes referred to as the “Sellers”) on the one hand, and Saqib Khan, M.D. (hereinafter the “Purchaser”). Each of the Sellers and the Purchaser may be referred to herein as a “Party” or collectively, as the “Parties.”
