This amendment (the “Amendment”) to that certain Registration Rights Agreement by and between Vertical Branding, Inc. f/k/a MFC Development Corp. (the “Company”) and Gottbetter Capital Finance, LLC (“Buyer”) dated as of July 31, 2006 (the “Registration Rights Agreement”) is entered into by and between the Company and the Required Holders listed below this __ day of August, 2007 (the “Effective Date”).
