This SECURITIES PURCHASE AGREEMENT (the “Agreement”) is dated as of August 14, 2012 by and among Alliqua, Inc., a Florida corporation (the “Company”), and each of the purchasers identified on the signature pages hereto and such purchasers’ respective successors and assigns (individually, a “Purchaser” and collectively, the “Purchasers”).
