THIS IS TO CERTIFY that, for value received, WELLENTERPRISES USA, LLC, a Florida limited liability company and its assigns (collectively, the “Holder”), is entitled to purchase, subject to the terms and conditions hereinafter set forth, up to a number of shares (the “Shares”) of common stock, par value $0.001 per share (the “Common Stock”), of WOUND MANAGEMENT TECHNOLOGIES, INC., a Texas corporation (the “Company”), equal to the lesser of (a) four and nine-tenths percent (4.9%) of the Fully-Diluted Common Stock (as defined below) at the time of exercise of this Warrant, or (b) 4,500,000, at a purchase price of $0.06 per Share (the “Exercise Price”), subject to adjustment as provided below, and to receive certificate(s) for the Shares so purchased. This Shipping and Consulting Agreement (this “Agreement”) dated as of September 20, 2013 (the “Effective Date”) is entered into between WellDyne Health, LLC (“WellDyne Health”), a Florida limited liability company with its principal place of business at 500 Eagles Landing Drive, County of Polk, City of Lakeland, State of Florida, and Wound Management Technologies, Inc. (“Company”), a Texas corporation with its principal place of business at 777 Main Street, Suite 3100, County of Tarrant, City of Fort Worth, State of Texas.
