This ASSET PURCHASE AGREEMENT (“Agreement”) is made as of this 2nd day of October, 2014 (“Closing Date”), by and between Novartis AG, a company organized under the laws of Switzerland and located at Lichtstrasse 35, 4056 Basel, Switzerland (“NAG”), Novartis Pharma AG, a company organized under the laws of Switzerland and located at Lichtstrasse 35, 4056 Basel, Switzerland (“NPAG” and together with NAG, “Novartis”) and Tribute Pharmaceuticals Canada Inc., a company organized under the laws of Ontario (“Purchaser”), located at 151 Steeles Avenue East, Milton Ontario, L9T 1Y1 Canada. Novartis and Purchaser are each referred to individually as a “Party” and together as the “Parties.”
