THIS AGREEMENT, dated as of March 3, 2015, is made and entered into by and between Payment Data Systems, Inc. inc., a Nevada corporation, having an office address at 12500 San Pedro Ave., Suite 120, San Antonio, Texas 78216 ("Payment Data Systems, Inc." or the "Company") and the individual named in Schedule 1 hereto, residing at the address listed in Schedule 1 (hereinafter referred to as the "Employee").
