This Term Loan Agreement (this “Agreement”) is made and entered into as of June 15, 2015, by and between Wound Management Technologies, Inc., a Texas corporation (“WTI”), Wound Care Innovations, LLC, a Nevada limited liability company (“WCI”), Resorbable Orthopedic Products, LLC, a Texas limited liability company (“ROP”), BioPharma Management Technologies, Inc., a Texas corporation (“BMT”), and The James W. Stuckert Revocable Trust (“Stuckert”), and The S. Oden Howell Revocable Trust (“Howell,” and together with Stuckert, each a “Lender” and together, the “Lenders”). WTI, WCI, ROP and BMI are sometimes each referred to herein as a “Borrower”, and collectively, as the “Borrowers”. Borrowers and Lenders are sometimes each referred to herein as a “Party”, and collectively, as the “Parties.”
