This Settlement Agreement (the “Settlement Agreement” or the “Agreement”) is executed and effective as of March 29, 2016 (the “Effective Date”) and entered into by and between PEDEVCO Corp. (“PEDEVCO”), Red Hawk Petroleum, LLC (“Red Hawk”), a wholly-owned subsidiary of PEDEVCO (Red Hawk and PEDEVCO are collectively referred to herein as the “Company”), Dome Energy AB, a Swedish corporation (“Dome”), Dome Energy, Inc., a Texas corporation and wholly-owned subsidiary of Dome (“Dome US”), and VistaTex Energy LLC, a wholly-owned direct subsidiary of Dome US (“VistaTex”, and together with Dome and Dome US, “Dome Energy”).
