This SEPARATION AGREEMENT AND WAIVER AND GENERAL RELEASE OF CLAIMS (the “AGREEMENT”) is made and entered into this 30th day of June 2006 by and between United States Pharmaceutical Group LLC, d/b/a NationsHealth, Inc. (the “Company”) and Tracy M. Schmidt (“Schmidt”) (collectively the “Parties”).

This AMENDED AND RESTATED PREFERRED VENDOR AGREEMENT (this “Agreement”), dated as of May 26, 2006 (the “Effective Date”), is made and entered into by and between Connecticut General Life Insurance Company, a Connecticut corporation, (“CIGNA”), and UNITED STATES PHARMACEUTICAL GROUP, LLC, a Delaware limited liability company, (“USPG”) and NATIONSHEALTH, INC., a Delaware corporation and the indirect owner of all of the membership interest of USPG (“NationsHealth”).
