This Employment Agreement (“Agreement”) is made and entered into by and between Integra Bank Corporation, an Indiana corporation (the “Company”) and Bradley M. Stevens (“Executive”) and shall be effective immediately upon the consummation of the merger (the “Merger”) contemplated by the Agreement and Plan of Merger by and among the Company, PFC Acquisition Corp. and Prairie Financial Corporation (“Prairie”), dated October 5, 2006, as amended (the “Merger Agreement”).
