THIS CREDIT AGREEMENT dated as of March 19, 2007 between The Toronto-Dominion Bank, as Lender, Oilsands Quest Sask Inc., as Borrower, and Oilsands Quest Inc., as the Guarantor, evidences the senior, non-revolving secured line of credit facility not to exceed $30,000,000 (the “Credit Facility”) and cancels and supersedes any prior agreements, undertakings, declarations, representations and warranties, written or verbal, among the parties in respect of the Credit Facility.
