This Amended and Restated Employment Agreement (the “Agreement”) is entered into on April 1, 2008 (the “Effective Date”) between EasyLink Services International Corporation (as successor-in-interest to Internet Commerce Corporation) (the “Company”) and Thomas J. Stallings (“Stallings”). This Agreement amends, restates and supersedes the Employment Agreement (the “Original Agreement”) between the Company and Stallings effective as of August 28, 2007 (the “Original Effective Date”).
