Hartford Life Insurance Company, a Connecticut life insurance company (the “Company”) in connection with its program (the “Program”) for the issuance in one or more series of its senior notes (the “Notes”) confirms its agreement with Merrill Lynch, Pierce, Fenner & Smith Incorporated, each other institution named on Schedule 2 hereto and any institution appointed as an agent pursuant to Section 13.3 hereof (each, an “Agent”) with respect to the Notes to be offered by the Company upon execution and delivery by the Company and the applicable Agent(s) of a terms agreement in the form of Exhibit A hereto (the “Terms Agreement”).
