THIS AGREEMENT (the “Agreement”), by and between S1 Corporation (the “Company”) and Paul Parrish (“You” or “Your”) (collectively, the “Parties”), is entered into as of December 17, 2008 and is effective as of Your first day of employment with the Company (your first day of employment shall be determined by the Company and is currently expected to be on or about January 12, 2009) (the “Effective Date”).
