Until the Distribution Date (or earlier redemption or expiration of the Rights), new Common Share certificates issued after the Record Date, upon transfer or new issuance of Common Shares, will contain a legend incorporating the Rights Agreement by reference (or, for Common Shares held in book-entry accounts through the direct registration services of the Company’s transfer agent, a legend on the direct registration transaction advice with respect to such shares.) Until the Distribution Date (or earlier redemption or expiration of the Rights), the surrender for transfer of any certificates for Common Shares outstanding as of the Record Date, even without such notation, or a copy of this Summary of Rights being attached, will also constitute the transfer of the Rights associated with the Common Shares represented by such certificate. Reference is made to that certain Amended and Restated Employment Agreement dated effective as of April 1, 2007, as the same may be amended from time to time, between Dolan Media Company (the “Company”) and Mark W.C. Stodder (the “Employment Agreement”). Capitalized terms used, but not otherwise defined, in this letter agreement, shall have the meanings ascribed to such terms in my Employment Agreement.
