The parties to this Asset Purchase and Sale Agreement (“Agreement”), effective as of March 9, 2009 (“Effective Date”), are Global Employment Holdings, Inc., a Delaware corporation (“Global”), and Temporary Placement Service, Inc., a Georgia corporation, a/k/a Michaels & Associates (“TPS” and together with Global, “Seller”), and Eastern Staffing, LLC, a California limited liability company (“Buyer”), d.b.a.
