THIS AMENDMENT TO PURCHASE AND SALE AGREEMENT (this “Amendment”) is dated effective August 8, 2013, by and between BP America Production Company, a Delaware corporation, with an office at 501 WestLake Park Boulevard, Houston, Texas 77079 (hereinafter referred to as “Seller” or “BP”), and Eagle Rock Field Services, L.P., a Delaware limited partnership, with an office at 1415 Louisiana Street, Suite 2700, Houston, Texas 77002 (hereinafter referred to as “ERFS” or “Purchaser”). Purchaser and Seller are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.”

THIS SECOND AMENDMENT TO GAS GATHERING AND PROCESSING AGREEMENT, dated effective July 1, 2013 (this “Amendment”), is by and between EAGLE ROCK FIELD SERVICES, L.P. (“Gatherer”) and BP AMERICA PRODUCTION COMPANY (“Owner”). Gatherer and Owner are sometimes hereinafter referred to individually as a (“Party”) and collectively as the (“Parties”). The terms used in this Amendment will have the same meaning as the same terms used in the Agreement.

(“Gatherer”) and BP AMERICA PRODUCTION COMPANY (“Owner”). Gatherer and Owner are sometimes hereinafter referred to individually as a (“Party”) and collectively as the (“Parties”). The terms used in this Amendment will have the same meaning as the same terms used in the Agreement.
