AGREEMENT, made this 8th day of September, 2011, among Fidelity Rutland Square Trust II ("Trust"), a Delaware statutory trust, on behalf of Strategic Advisers Growth Multi-Manager Fund (the "Fund"), Strategic Advisers, Inc.
