AMENDED AND RESTATED AGREEMENT, made this 1st day of October, 2023, among Fidelity Rutland Square Trust II (“Trust”), a Delaware statutory trust, on behalf of Strategic Advisers Core Income Fund (the “Fund”), Strategic Advisers LLC (“Adviser”), a Delaware limited liability company, and FIAM LLC (“Sub-Adviser”), a Delaware limited liability company, and amends and restates an Investment Sub-Advisory Agreement dated March 5, 2010, as further amended and restated on December 1, 2010 and June 7, 2012, and on December 15, 2014 by an assignment and assumption agreement, as further amended and restated on December 2, 2020, September 7, 2022 and March 2, 2023.
