THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made as of June 26, 2008, by and between Burlington Coat Factory Warehouse Corporation, a Delaware corporation, with offices in New Jersey (the “Company”), and Marc Katz (“Executive”), a resident of New Jersey.

THIS FIRST AMENDMENT (“First Amendment”) to Employment Agreement dated as of August 16, 2007 (“Employment Agreement”) is made on the 27th day of June, 2008 between Burlington Coat Factory Warehouse Corporation, a Delaware corporation (hereinafter the “Company” or the “Corporation”), and Todd Weyhrich (“Executive”).
