THIS EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of this 29th day of September 2009, by and between Arthur “Bud” Vos, an individual (“Executive”), and Comverge, Inc., a Delaware corporation (the “Company”). The Executive and Company are collectively referred to as “Parties” and individually as “Party”.

Reference is made to the Demand Side Management Agreement (the “Agreement”), dated as of February 6, 2008, as amended, between Consolidated Edison Company of New York, Inc. (“Con Edison”) and Public Energy Solutions, LLC (“Contractor”). Capitalized terms used herein without definition shall have the respective meanings ascribed to them in the Agreement.

This Separation Agreement and General Release (“Agreement”) is made and entered into on this 17th day of December, 2009 by and between Comverge, Inc., a Delaware corporation (hereinafter referred to as “the Company”), and Frank Magnotti (hereinafter referred to as “Employee”). Employee and Company are individually referred to as “Party” and collectively as “Parties.”

THIS CONSULTING AGREEMENT (this "Agreement") is entered into by and between Frank Magnotti, an individual ("Consultant"), and Comverge, Inc., a Delaware corporation (the "Company"). Consultant and Company are collectively referred to as “Parties” and individually as “Party.” This Agreement memorializes the agreement between the parties regarding a consulting relationship that commenced on December 17, 2009. This Agreement becomes effective the same day Consultant’s Separation Agreement and General Release Agreement (“Separation Agreement”) becomes effective.
