THIS FIRST AMENDMENT TO EXECUTIVE EMPLOYMENT AGREEMENT (“First Amendment”) is made by and between COMVERGE, INC., a Delaware corporation (“Company”) and TERESA NAYLOR (“Executive”) effective September 23, 2011.
