This SECURITY AGREEMENT, effective as of February 28, 2013 (as amended, restated, supplemented or modified from time to time, the “Security Agreement”), is executed by and between ADVANTAGE REFERENCE LABS, INC., a Florida corporation, whose address is 7960 Central Industrial Drive, Suite 120, Riviera Beach, Florida 33064, as grantor (the “Grantor”), and TCA GLOBAL CREDIT MASTER FUND, LP, as secured party (the “Secured Party”).

THIS GUARANTY AGREEMENT is dated as of January 22, 2013 (as amended, restated, supplemented or modified from time to time, the “Guaranty”), and is made by BIOHEALTH MEDICAL LABORATORY, INC., a Florida corporation, as guarantor (the “Guarantor”), in favor of TCA GLOBAL CREDIT MASTER FUND, LP, as guarantee (the “Lender”).
