This Transaction Agreement (this “Agreement”), dated as of January 6, 2023 (the “Closing Date”), is made and entered into by and among the Investors (as defined below), CVR-CapturePoint Parent LLC, a Delaware limited liability company (“Seller”), CVR Partners, LP, a Delaware limited partnership (“CVRP”), Coffeyville Resources Nitrogen Fertilizers, LLC, a Delaware limited liability company (“CRNF”) and CapturePoint LLC, a Texas limited liability company (“CapturePoint”). THIS AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT (this “Agreement”) of CVR-CapturePoint LLC, a Delaware limited liability company (the “Company”), is made and entered into effective as of January 6, 2023 (the “Effective Date”), by and among CVR-CapturePoint Parent LLC, a Delaware limited liability company (the “Sponsor Member”), the Class A Members listed on the signature pages hereto, and solely for purposes of Section 3.9(c) and Section 8.3(b), CVR Partners, LP, a Delaware limited partnership (“CVRP”), and CapturePoint LLC, a Texas limited liability company (“CapturePoint”). The Sponsor Member and the Class A Members are each referred to herein individually as a “Current Member” and collectively as the “Current Members.”
