This SHARE EXCHANGE AGREEMENT (“Agreement”), dated as of September 30, 2015, is made by and among Legacy Ventures International Inc., a corporation organized under the laws of the State of Nevada (the “Acquiror”), Rehan Saeed (the “Acquiror Principal Shareholder”), RM Fresh Brands Inc., a corporation organized under the laws of the Province of Ontario, Canada (the “Acquiree”), Ron Patel and Mirwan Ferris (collectively, the “Acquiree Shareholders,” and individually an “Acquiree Shareholder”).
