This Assignment and Licensed Rights Agreement (“Agreement”) is made as of December 19th, 2014 (“Effective Date”) between PearTrack Security Systems, Inc. a Nevada corporation at 1134-E. Ballena Bay Blvd. #6, Alameda, CA 94501 (“PTSS”), and PearLoxx Limited incorporated and registered in England and Wales whose registered office is at Enterprise House, 97 Alderley Road, Wilmslow, Cheshire, UK SK9 1PT (“PearLoxx”) (PTSS and PearLoxx are each a “Party” and together, the “Parties”).
