AGREEMENT made as of May 1, 2014, between TEMPLETON GLOBAL OPPORTUNITIES TRUST, a statutory trust organized under the laws of the State of Delaware (hereinafter referred to as the "Fund"), and TEMPLETON INVESTMENT COUNSEL, LLC (hereinafter referred to as the "Investment Manager"), and amends and restates the prior Investment Management Agreement between the Fund and the Investment Manager dated as of February 28, 2006.

(“TAML”), a corporation organized under the laws of and based in Singapore.
