This Novation Agreement (this “Novation Agreement”), dated August 19, 2021, is entered into by and among IBM United Kingdom Limited (“Transferor”), Kyndryl UK Limited (“Kyndryl” or “Transferee”), and Broadridge Financial Solutions Limited (“Customer”).
