This agreement, by and between ECHO AUTOMOTIVE, INC., a Nevada corporation (“Echo” or “Licensee”), with offices at 16000 North 80th Street, Suite E, Scottsdale, Arizona 85260, and CLEANFUTURES, LLC, a Kansas limited liability company (“CleanFutures” or “Licensor”), having a principal place of business at 120 North Main Street, Suite 9, El Dorado, Kansas, 67042 (hereinafter collectively referred to individually, as “Party, and collectively, as the “Parties”) is entered into on April 5, 2013 (“Effective Date”)(“Amended and Restated Licensing Agreement” or “Agreement”).

We are very pleased to present to you this Offer of Employment with Echo Automotive per the terms defined below. We trust that your knowledge, skills and experience will be among our most valuable assets. This agreement will be replaced by a more comprehensive employment agreement detailing the following terms in greater detail. In addition, we will need to work together to better structure the terms below to meet the requirements of all parties.

This addendum to Lease (“Addendum”) is incorporated into and made a part of that certain Lease dated February 18, 2013, by and between TREF Scottsdale LLC, a Delaware limited liability company as “Lessor” and Echo Automotive, Inc., a Nevada corporation as “Lessee” (the “Lease”). The terms of this Addendum are intended to modify, amend, and supplement the terms and provisions of the Lease. To the extent of any conflict between the terms and provisions of this Addendum and the terms and provisions of the Lease, the terms and provisions of this Addendum shall control. Except as otherwise expressly provided in this Addendum, all capitalized terms used in this Addendum and defined in the Lease shall have the same meanings ascribed to them in the Lease.
