This Amended and Restated Investment Advisory Agreement (the “Agreement”) made this 17th day of July, 2014, by and between FS INVESTMENT CORPORATION, a Maryland corporation (the “Company”), and FB INCOME ADVISOR, LLC, a Delaware limited liability company (the “Adviser”). This Agreement amends and restates in its entirety that certain Amended and Restated Investment Advisory Agreement, dated as of April 16, 2014, by and between the Company and the Adviser (as amended, the “Original Investment Advisory Agreement”).
