This ENVIRONMENTAL INDEMNITY (this “Agreement”) is given as of this 27th day of September, 2017 by the Indemnitors (as hereinafter defined) pursuant to the terms and conditions of a certain Term Loan Agreement by and among MOODY NATIONAL OPERATING PARTNERSHIP II, LP, a Delaware limited partnership (“Borrower”), KeyBank National Association, a national banking association, having an address at 1200 Abernathy Road NE, Suite 1550, Atlanta, Georgia 30328, and the other lending institutions which become parties to the Loan Agreement (KeyBank National Association and the other lending institutions which become parties to the Loan Agreement are collectively referred to as the “Lenders” and individually as the “Lender”), and KeyBank National Association, a national banking association, as agent on behalf of the Lenders (hereinafter called the “Agent”) (hereinafter, as same may be amended, restated, renewed, replaced or otherwise modified, the “Loan Agreement”).

THIS GUARANTY dated as of September 27, 2017, executed and delivered by each of the undersigned, whether one or more, (collectively, the “Guarantor”), in favor of (a) KeyBank National Association, a national banking association, in its capacity as agent (the “Agent”), for the Lenders under that certain Term Loan Agreement dated as of even date herewith, by and among MOODY NATIONAL OPERATING PARTNERSHIP II, LP, a Delaware limited partnership (the “Borrower”), the financial institutions party thereto and their assignees in accordance therewith (the “Lenders”), and the Agent (as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance with its terms, the “Loan Agreement”), and (b) the Lenders. Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in the Loan Agreement.

This Third Amended and Restated Limited Partnership Agreement (this “Agreement”) is entered into this 27th day of September, 2017, between Moody National REIT II, Inc., a Maryland corporation, as the General Partner, and the Limited Partners set forth on Exhibit A attached hereto. Capitalized terms used herein but not otherwise defined shall have the meanings given to them in Article 1.

THIS TERM LOAN AGREEMENT is made as of the 27th day of September, 2017 (the “Closing Date”), by and among MOODY NATIONAL OPERATING PARTNERSHIP II, LP, a Delaware limited partnership (“Borrower”), MOODY NATIONAL REIT II, INC., a Maryland corporation (“REIT”), and various Subsidiaries of the Borrower as guarantors (individually, each a “Guarantor” and collectively, the “Guarantors”), KEYBANK NATIONAL ASSOCIATION, a national banking association (“KeyBank”), the other lending institutions which are parties to this Agreement as “Lenders”, and the other lending institutions that may become parties hereto pursuant to §18, and KEYBANK NATIONAL ASSOCIATION, a national banking association, as Agent for the Lenders (the “Agent”).
