The Borrower, the Lenders party thereto, the Arranger, the Administrative Agent, Virtus Group, LP, as collateral administrator (the "Assigning Collateral Administrator") and Citibank, N.A., as the collateral agent (the "Assigning Collateral Agent") are parties to a Credit Agreement dated as of April 19, 2017 (as amended or otherwise modified prior to the date hereof, the "Existing Credit Agreement").
