Amendment No. 1 and Waiver (this “Amendment”), dated as of April 9, 2020, by and among FS ENERGY AND POWER FUND, a Delaware statutory trust (the “Borrower”); each of the Subsidiary Guarantors; each of the Lenders and Conduit Support Providers party hereto; and JPMORGAN CHASE BANK, N.A., a national banking corporation, as administrative agent for the Lenders (in such capacity, together with its successors in such capacity, the “Administrative Agent”).
