This Consulting Agreement (the “Agreement”), is effective as of January 1, 2011 (the “Effective Date”) between AVT, Inc., a Nevada corporation, whose principal business offices are located at 341 Bonnie Circle, Suite 102, Corona, CA 92880 (the “Company”) and Worth, Inc., a Nevada corporation (the “Consultant”) whose principal business offices are located at 2320 White Oak Lane, Corona, CA 92882.
