THIS AGREEMENT by and between PharMerica Corporation and (hereinafter the "Company"), and David W. Froesel, Jr. (the "Executive"), originally entered into on August 1, 2013 ("Start Date"), is amended and restated in its entirety as set forth herein, effective on May 30, 2014.

THIS AGREEMENT by and between PharMerica Corporation and (hereinafter the "Company"), and James D. Glynn (the "Executive") is entered into on November 10, 2012 and effective on the closing date of that certain Agreement and Plan of Merger (the "Merger Agreement") by and among Pharmacy Corporation of America, Kodiak Merger Sub, Inc., Amerita, Inc. and the Stockholders' Representative (as defined therein) ("Start Date").
